Vertical Fusion Boulder Membership Contract Agreement

 

Autopay Membership Terms

By purchasing an autopay Limited or Unlimited Membership, you agree to the following terms:

1. Automatic Payments

   • Your membership requires a valid credit card on file. The card will be automatically charged each month for the duration of the contract.

   • It is your responsibility to maintain a valid credit card on file and notify Vertical Fusion of any changes to your account or payment method promptly.

2. Billing Errors

   • Notify Vertical Fusion within 30 days of any billing errors. Failure to do so may result in forfeiture of refund eligibility.

   • Provide documentation from your financial institution to resolve billing disputes.

3. Declined Payments

   • If your card is declined, the system will retry the transaction the next day. A $25 fee will apply for each failed attempt.

4. Legal Action

   • Failure to pay amounts due may result in suspension of membership and legal debt collection actions as permitted by law.

5. PCI DSS Compliance

   • Vertical Fusion follows Payment Card Industry Data Security Standards (PCI DSS) to ensure the security of your payment information.

 

 

 

Cancellation and Termination

1. Cancellation Policy

   • In compliance with Colorado law, all contracts may be canceled without penalty within 3 business days of signing.

   • If classes were redeemed within this period, the regular rate of $30 per class will be deducted from the refund amount.

2. Early Termination

   • Unlimited Membership: Early termination fees are $280 for 12-month contracts and $180 for 6-month contracts. These fees will be charged to the card on file.

   • Limited Membership: You will be charged the regular single-class rate of $30 for all redeemed classes, or you may opt to pay the remaining balance of your contract. Charges will be automatically applied to the card on file.

   • Termination requests must be submitted in writing at least 7 days before the next billing cycle.

3. Membership Suspension

   • Memberships may be suspended for a $45 fee for a maximum of one month. The contract term will be extended by the length of the suspension. Requests must be submitted in writing at least 7 days prior to the next billing cycle.

4. Relocation or Medical Termination

   • Members may terminate their contracts without penalty if Vertical Fusion relocates more than 5 miles from its current location or if a documented medical condition prevents participation or if the member becomes deceased.

Class Policies

1. Class Cancellations

   • Vertical Fusion LLC reserves the right to cancel classes due to unforeseen circumstances (e.g., severe weather, illness, staffing changes, or government mandates). No guarantees are made regarding specific class schedules, sizes, or instructor availability.

2. Unused Classes

   • Unused classes in Limited Memberships do not carry over to the following month.

3. Late-Cancel and No-Show Policies

   • Unlimited Membership: Late cancellations (6 hours or less before class start time) will incur a $20 fee after 3 occurrences in a month. No-shows will incur a $10 fee per incident.

   • Limited Membership: Late cancellations result in forfeited classes. No-shows result in forfeited classes and an additional $10 fee if the class had a waitlist.

4. COVID-19 and Emergency Policies

   • During government-mandated restrictions or other emergencies, no-show and late-cancel policies may be adjusted to reflect unique circumstances. Updated policies will be communicated promptly.

 

Automatic Renewal

This membership will automatically renew at the end of the contract term unless canceled in writing at least 7 days prior to the next billing date. Members are responsible for ensuring timely notification to avoid renewal charges.

Force Majeure Clause

Vertical Fusion is not liable for interruptions in service due to events beyond our control, including severe weather, government mandates, or other emergencies. Adjustments to policies or schedules will be communicated promptly.

Dispute Resolution

In the event of a dispute, both parties agree to first attempt mediation. If mediation fails, disputes will be resolved through arbitration in accordance with Colorado law. This clause does not waive your rights under the Colorado Consumer Protection Act.

Authorization and Acknowledgment

By purchasing any membership, you:

• Agree to the terms outlined in this contract.

• Authorize Vertical Fusion LLC to debit your credit card on file for membership fees and applicable charges.

• Acknowledge that you have read and understood the contract terms, including cancellation and fee policies.

Memberships are valid only at Vertical Fusion Boulder and for designated class types. Memberships are non-transferable. Promotions, discounts, and sales may not apply to monthly payments unless explicitly stated.
